Mylands hereby indemnifies and agrees to hold harmless AegisCapital,its affiliates and their
respective officers,directors,employees,agents,(each an “Indemnified Party”) on demand,
from and against any and all claims,penalties,damages,losses,liabilities,obligations,costs,
expenses and disbursements (together “Indemnified Risks”) joint or several,of any kind or nature whatsoever that may be imposed upon,incurred by or asserted or awarded against any
Indemnified Party in any way relating to,arising out of or in connection with this Engagement
Letter,AegisCapital’s Engagement hereunder or the transactions contemplated hereby or any
related claim or investigation,litigation or proceeding,whether or not any transactions
contemplated hereby are consummated,except to the extent such Indemnified Risks are found in
a judgment by a court of competent jurisdiction to have resulted directly and primarily from such
Indemnified Party’s gross negligence or wilful misconduct.
Mylands and AegisCapital agree that no Indemnified Party shall have any liability (whether direct
or indirect,in contract,tort or otherwise) to Mylands or any of its shareholders or affiliates for or in
connection with the transactions contemplated hereby except for direct (as opposed to indirect or
consequential) damages or losses to the extent such liability is found in a judgement by a court of
competent jurisdiction to have resulted directly and primarily from such Indemnified Party’s gross
negligence or wilful misconduct ,and the parties agree that in no event shall either party or any
Indemnified Party be liable for loss of profits,business or anticipated savings or for any indirect or
consequential loss whatsoever suffered by the other party or any of its shareholders or affiliates.
