10) Inspection:Final at Load port for Weight/Quality/Quantity,Packing and Analysis as per the certificates issued by Vina Control,SGS/OMIC/Bureau Veritas Vietnam.Cost of inspection is to Seller’s account.If the inspection company does not find the cargo to be as per contract then the cargo will be replaced at seller’s cost prior to shipment.In case the cargo is inspected by 2 inspection companies,the extra cost for the double inspected quantity to be at Buyer’s account.Seller to pay the cost for one inspection company only.( seller’s option )
17) Non disclosure
Proprietary information disclosed by a Party to the other Party shall be used only during and in connection with the execution of this SPA.
No Party may disclose any proprietary information so disclosed by the other Party to any third party,before,during or after the expiry or termination of the SPA.
Confidentiality
In addition to the non-disclosure paragraph here above,no announcement or other disclosure will be made concerning the contents of this Agreement,or any ancillary matter except as required by law or any regulatory authority or with the prior written approval of each Party.The Parties shall impose these obligations upon their representatives,affiliated companies and advisers,who will bear knowledge of any relevant information.These third parties will only be given such information on a "need to know" basis.
19) Arbitration:Should any dispute arise between the contracting parties to which no agreement can be reached,these disputes shall be settled by Vietnam International Arbitration Center (VIAC) as per VIAC rules.English language shall be applied.The cost and expenses incurred shall be for the losing party’s account.
20) General conditions:Both sides undertake to execute strictly all the terms and conditions of the contract.Any change and amendment to this contract must be made in writing and be signed by both parties.

10)检验：最后在装运港根据Vina Control,SGS/OMIC/Bureau Veritas Vietnam标准进行重量、质量、数量、包装、分析报告的检验,检验费由卖方支付.如果检验公司没有找到合同所述货物,则货物在装运前将被替换,费用由卖方承担.如果货物需要2家检验公司检验,另外的费用买方支付,卖方只支付一家检验公司的费用.（由卖方选择支付哪一家）
17）无泄露
只有在SPA执行期间允许一方给另一方专利信息.
在SPA有效期间或之后任何一方都不能把专利信息泄露给第三方.
机密
除了上述提到的无泄露,协议中的任何内容,或法律规定的,或经双方同意的附加信息都不能泄露出去.合同各方应督促知道信息的相关人、联盟公司和顾问遵守此规定.第三方只有在“必须告知”的基础上才能得到这些信息.
19）仲裁：合同方产生合同中未谈到的争议,按照VIAC规定,这些争议由维也纳国际仲裁中心处理.使用英文.费用由败诉方承担.
20）一般条件：双方严格执行合同中的条款.修改合同应该以书面形式,并经双方确认.
