In consideration of you,Banque Saudi Fransi,making credit and/or other banking facilities available to Arabian SAB Est.Khalil CO,we hereby irrevocably and unconditionally undertake to pay to you upon your first written demand (whether by correspondence or tested telex),notwithstanding any protest or objection made by any party,any amount up to ( ) plus any interest which you certify has accrued and any costs,charges or expenses which you certify you have incurred as a result of the Customer’s default or in enforcing you rights against the Customer and/or us.
One or more demands may be made by you,provided that all demands are made prior to the expiry of this guarantee and the aggregate amount thereof does not exceed the total amount available under this guarantee.
We confirm that we have obtained such exchange control approvals,if any,as are necessary to ensure that we will be able to fulfill out payment obligations under this guarantee in the above-mentioned currency.We undertake to maintain such approvals in full force and effect and in the event any new exchange controls are imposed we further undertake to take whatever action is necessary to obtain the required approvals.
Any payment made hereunder shall be made free and clear of,and without deduction for or on account of,any present or future taxes,levies,imposts,duties,charges,fees,commissions,deductions or withholdings of any future whatsoever and by whomsoever imposed.
Until all amounts due and payable to you by us in accordance with a timely demand made by you are paid in full,our obligations and liabilities will not be discharged,impaired or otherwise affected by any act,judgement,order or other event which,but for this provision,might otherwise operate to discharge or impair our obligations or liabilities.
This guarantee will expire at midnight ( time) on the day of ,20 .
