9.12\x05Headings.The headings of sections and subsections have been included for convenience only and shall not be considered in interpreting this Agreement.
9.13\x05Counterparts.This Agreement may be executed in one or more counterparts,each of which shall be deemed to be an original,and all of which together shall constitute one and the same Agreement.This Agreement may be executed and delivered via electronic facsimile transmission with the same force and effect as if it were executed and delivered by the Parties simultaneously in the presence of another.
9.14\x05Interpretation and Construction.This Agreement has been fully and freely negotiated by the Parties hereto,shall be considered as having been drafted jointly by the Parties hereto,and shall be interpreted and construed as if so drafted,without construction in favor of or against any Party on account of its participation in the drafting hereof.
9.15\x05Expenses.Any and all expenses,fees and/or costs (collectively “Costs”) incurred by the Parties not covered by this Agreement are the responsibility of the Party incurring such Costs.
9.16\x05Attorneys’ Fees and Costs.If any legal action or proceeding arising out of or relating to this Agreement is brought by either Party to this Agreement,the prevailing Party shall be entitled to receive from the other Party,in addition to any other relief that may be granted,the reasonable attorneys’ fees,expert witness fees,Costs,and expenses incurred in the action or proceeding by the prevailing Party.
