Contractor understand that as a condition of this Agreement that they may be required to disclose to the other party information which is deemed to be proprietary and/or confidential in nature.The parties agree to respect the proprietary markings of the information,or if the information received was oral,reduce to writing the proprietary nature of the information.It is further understood that,neither party shall disclose any information provided to each other pursuant to this Agreement for a period of two years after termination of this Agreement,except for information that:
1)is already known to the general public;
2)subsequently enters into the public domain through no fault of the receiving party;
3)is already known to a receiving party at the time of disclosure;
4)is lawfully received from a third person under no duty of confidentiality with respect to such information;
5)is independently developed by a receiving party without access to the confidential information of the disclosing party; and
6)a receiving party is compelled to disclose by law.
