DISTRIBUTORSHIP AGREEMENT(draft)
This Agreement,made and entered into this date day of month、year by and between USHIO SHENZHEN,INC.,a corporation duly organized and existing under the laws of People’s Republic of China and having its principal place of business at SuitesA,E,10/F,Building A,Honglong Century Plaza,NO.3001,HePing Road,LuoHu District,ShenZhen,People’s Republic of China (518001) (hereinafter called “Supplier”) and The trading partner’s company name ,a corporation duly organized and existing under the laws of People’s Republic of China and having its principal place of business at The trading partner’s company address ,(hereinafter called “Distributor”),
WITNESSETH:
WHEREAS,Supplier is engaged in the sale of certain products hereinafter defined,and
WHEREAS,Distributor is desirous of buying from Supplier and reselling the said products in the territory hereinafter defined.
NOW,THEREFORE,it is mutually agreed as follows:
Article 1.　Definitions
Unless otherwise specified in this Agreement:
1.1 “Territory” means People’s Republic of China.
1.2 “Products” means product’s name made by productor’s name .
1.3 “Individual Sales Contract” means the individual and separate sale and purchase contract for Products to be made on the basis of this Agreement.
Article 2.　Individual Sales Contract
2.1 (Orders and Acceptance) No Individual Sales Contract shall be effective except by Supplier’s written acceptance of each order submitted by Distributor.Notwithstanding any provisions of Distributor’s order,each contract of sale shall be subject to the terms and conditions contained in this Agreement and in Supplier’s acceptance sheet.Supplier shall use its best efforts to fill orders received by Distributor.
2.2 (Discontinuance or Change of Products) Supplier reserves the right to discontinue the sale of Products and to change the formula,contents or packaging thereof.Supplier shall not incur any liability thereby or any obligation to change,or repurchase Products previously sold by Supplier to Distributor.

本协议由XXX公司（依据中华人民共和国法律成立和存在的公司,主要营业地址位于中华人民共和国深圳市罗湖区和平路3001号鸿隆世纪广场A座10楼A/E室,以下简称”供应商“）和XXX公司（依据中华人民共和国法律成立和存在的公司,主要营业地址位于xxx,以下简称”经销商“）于_年_月_日达成并订立.
WITNESSETH:

Article 2.　Individual Sales Contract 第2条 单独销售合同

（订单和接受）由经销商提交每份订单未经供应商书面接受,单独销售合同不得生效.即便存在任何经销商订单条款,每份销售合同仍应以本协议项下及供应商接受文件中的条款为准.供应商应尽量接受从经销商处获得的订单.
