COOPERATIVE FINANCING AGREEMENT

THIS COOPERATIVE FINANCING AGREEMENT (“CFA”) is agreed upon and signed on the day of in the year 2008 by and between:
The Issuing Party Ki. MOH SUUD SUBARI the holder of Indonesian Passport No. with an address and hereinafter referred to as Party A
And
The Funding Party Mr WANGXIANG CHEN the holder of China Passport No G26713678 for Corporation known as GOOD MAX FINANCE LTD with an address No. hereinafter referred to as Party B.
WHEREAS Party A warrants and declares that it has arranged to have issued a STADBY LETTER OF CREDIT from a Top Ten Prime bank, and states that the SBLC will be issued by ;
WHEREAS Party A has requested Party B under the terms of this CFA a task to raise project funds against the SBLC to finance Projects identified herein to be undertaken by Party A and Party B.
WHEREAS Party B represents to secure a line of credit facility of an amount of Euro 2 Billion in trenches upon each delivery of acceptable AA rated STANDY LETTER OF CREDIT, the first delivery having a face value of Euro 100,000,000,00 thereof.
THEREFORE, the Parties hereby declare that they agree to enter the Agreement described herein this CFA;
A. Party warrants and confirms that it has the ability and capacity to cause/arrange the issuance of a Standby Letter of Credit(s) from Top 10(Ten) Prime Banks AA rated marked in Exhibit A attached hereto as per terms and conditions contained herein and hereafter.
B. Party A warrants and confirms that he is the beneficiary jointly with party B of SBLC and further shall assign all rights and obligations of the SBLC to Party B and will deliver the same to party B for it to secure the funding.
C. Party B will secure the funding against the SBLC and agree to utilize the funds up to EURO 2 Billion jointly with Party A as set forth in this CFA.
D. Party B warrants and confirms the cost of funds include the rate of interest and other miscellaneous bank charges imposed thereof shall be abided by the terms and conditions specified by the bank letter of offer to Party B thereof.
E. Party B warrants and agrees to deliver the funds to Party A within 14 working days upon positive verification of the STANDBY LETTER OF CREDIT by Party B’s Bank and co-terminus with the disbursement by the Bank.
F. Both parties agree to place the reserve funds of EURO 500, 000, 000, 00 (Five Hundred Million EURO) for joint Investment.
G. The net balance of the drawdown shall be utilized to provide funding for the projects herein agreed by the both parties and the distribution regarding the usage of the funds shall be divided in ratio of 60:40 between Party A and Party B.
