General. This NDA does not create a joint venture, partnership or other form of business association between the parties, nor an obligation to buy or sell products or services, nor does it, subject to the obligations of use and confidentiality imposed herein, impair either party's right to make, use, procure or market any products or services, now or in the future, which may be competitive with those offered or contemplated by the other party. This NDA will be governed by the laws of Japan without reference to conflict of laws principles, if any. The parties consent to the exclusive jurisdiction and venue of the district courts sitting in Osaka. Notwithstanding anything to the contrary in this NDA, the parties agree that a breach by Recipient of its obligations under this NDA will cause immediate and irreparable harm to MDI and shall entitle MDI to seek injunctive relief in addition to all other remedies. This NDA is the entire, final and complete agreement between the parties with respect to its subject matter and supersedes all prior or contemporaneous agreements with respect thereto. No provision of this NDA shall be deemed waived, amended or modified by any party, unless made in writing and signed by authorized representative of both parties. Notices and other communications under this NDA shall be in writing and sent to the address set forth herein and directed to the legal department or signatory of the receiving party. The parties may communicate with each other by facsimile or e-mail and such communication is acceptable as a writing. Facsimile or digital signatures that comply with the law of Japan regarding signature authenticity shall constitute “original” signatures. This NDA may be executed in counterparts each of which shall constitute an original and all of which shall constitute one and the same document. Neither party shall assign, by operation of law, sale of securities or assets, merger or otherwise, any rights nor delegate any duties under this NDA without the prior written consent of the other party, and any such purported assignment or delegation shall be void. This NDA shall be binding upon the parties’ authorized successors and assigns. Recipient shall comply with all applicable export laws and regulations including, but not limited to, the Japan Export Administration Regulations.
