Vendor agrees to indemnify and hold harmless DTMerchandising, Its Parent, Subsidiaries and Affiliates, employees, officers,directors, shareholders, agents and representatives (the "IndemnifiedParties") from and against any and all claims, actions, liabilities,damages, losses, costs or expenses (collectively "Losses") arisingfrom or related to any products provided by Vendor to Buyer. The indemnifiedLosses shall include, without limitation, those Losses incurred as a result of(i) any violation of any law, regulation, or order including, but not limitedto any actual or alleged violation of any law, statute or ordinance or anyadministrative order, rule or regulation relating to the merchandise, or itsmanufacture, shipment, import, labeling, weights and measurements, use or sale,or any failure to provide an MSDS, General Conformity Certificate or othercertification; (ii)claims related to an allegation of or finding ofinfringement of a trademark, copyright , patent or violation of otherintellectual property rights; (iii)any actual or alleged death of or injury toany person, damage to any property, or any other damage or loss, by whomsoeversuffered, claimed to result in whole or in part from the merchandise or anyactual or alleged
defect in such merchandise, whether latent orpatent, including any alleged failure to provide adequate warnings, labeling orinstructions; (iv) breach of warranty of a product's merchantability or fitnessfor a particular purpose; (v) representation or misrepresentation regarding a product's attributes or performance ability;or (vi) Vendor's performance hereunder. Vendor's indemnification includes,without limitation, incidental and consequential losses, attorneys fees, expertwitness fees, penalties, fines and other exactions of any governmental body.
