某客户合同,还差最后一点点完工,但是我今天有2个客户要接,求大大们帮我翻译最后一部分.
我个人认为,此合同是十分不规范的,MS有很多病句.但是还是要想办法翻译过来,某些问题我做不了主,而做的了主的人看不懂英文= =
In case of delayed realization of payment,the SELLER in the right to demand from the BUYER to pay to the SELLER the penalty at a rate of 0,03 from the sum subject to payment per every day of delay.
If any of such circumstances directly affected the performance of obligations in the period stipulated in the Contract,this time period is extended correspondingly for a period during which such circumstances last.
If these circumstances last more than 3 months,each of the Parties shall be entitled to cancel its performance of obligations under the Contract,and in this case none of the Parties shall be entitled to claim from another Party compensation of losses,excluding reimbursement of the advanced payment for non supplied goods.
The party for which there was impossible an execution of obligations,is obliged immediately,but not later than 10 days from the moment of approach and the discontinuance,in writing to notify other party (side) on approach of circumstances,about prospective validity and the discontinuances of the above-stated circumstances.The facts stated in the notice,should be confirmed with Trading (Commercial and industrial) Chamber either other competent body or the organization of the appropriate country.Not the notice or the delayed notice deprives the party of the right to refer to any above-stated circumstance,as the basis exempting from the responsibility for default of obligations.
10.Other conditions
All the amendments and addenda to the present Contract shall be valid only if made in writing and duly be signed by both parties.
When interpreting the positions of the Contract on basis terms of the goods delivery Rules on terms interpretation developed by the International Chamber of Commerce - “INCOTERMS 2000” shall be applied,excluding the cases when the Contract directly stipulates otherwise.
Each of the Parties acknowledges that,in entering into the present Contract,it does not go beyond the limits of the present Contract and shall follow all the terms stipulated in it.
Any notice or other information necessary under this Contract,given by one party to other party,can be handed it personally or is sent by mail,the telegram or a fax.
The present contract,and also documents it agrees the present contract,sent by fax are valid the original,before reception of originals under condition of observance of obligatory essential elements.
The present Contract is signed in duplicate on one for each party(side),both in English and Russian,and both texts are equally authentic.In case of different interpretations,collisions of other discrepancy of Russian and English of texts of the Contract,the party accept the Russian text of the Contract.
