If such impediment shall have continued for a period of thirty (30) days beyond the original shipping period for the quantity concerned,the Parties shall meet and discuss the desirability of canceling the shipments concerned or likely to be concerned and failing any agreement regarding the same,the Party not impeded by the event of Force Majeure may cancel such non-shipped quantity by dispatching notice of such cancellation by telex,facsimile,or e-mail and confirmed by registered mail within fifteen (15) days after the termination of the period of thirty (30) days extension above referred to.
Any deficiencies in the supply or purchase of Coal hereunder,excused by Force Majeure are to be made up only following mutual agreement.
ARBITRATION
This contract shall be governed by Indonesian Laws.Any dispute arising during execution of this contract shall be settled amicable by mutual agreement between the contracting Parties.Should to Agreement be reached,then the dispute shall be submitted for settlement to the arbitration of the Indonesian Chamber of Commerce or the Foreign Trade Arbitration Commission in Indonesian by one or more arbitrators appointed in accordance with the rules.
The diction arrived at on arbitration shall be final and binding upon both Parties.
LIABILITIES
The Liability of a Party in respect of any claim brought buy the other based on a failure of the first Party to fulfill its obligations hereunder shall include direct losses as well as consequential damages including lost profits.
MUTUAL COLLABORATION
Both BUYER and SELLER recognize that circumstances may arise which could not have been foreseen at the time this Agreement was entered into.Both Parties agree that they will use reasonable efforts to solve any problems due to any such unforeseeable circumstances in the spirit of mutual understanding and collaboration.
APPLICABLE LAW
This Agreement and the rights,privileges,duties and obligations of the Parties hereunder shall be construed in accordance with the Indonesian Law.
All the terminologies and conditions whether specified or not to be taken in accordance with the Inco terms2000.
TAXES
All taxes,fees,duties in the importing country will be the responsibility of the BUYER and all taxes,fees duties in the exporting country will be the responsibility of the SELLER.
NOTICES
Any notice or the other communication is required to be made under this Agreement shall be deemed to have been sufficiently given of:
(a) Personally delivered in writing,when delivered at the office of a party whose address is set hereto:Couriered,by a first-class courier service,addressed to a Party whose address is set hereto; facsimile or e-mail,twenty-four (24) hours after being placed in the facsimile or e-mail addressed to the correct address of a Party hereto:
