Assignment.The Agreement shall inure to the benefit of and be binding upon the Parties and their successors and assigns.XXX may assign this Agreement without the prior written consent of Customer.Customer may assign this Agreement subject to the following provisions:(a) Customer may assign this Agreement pursuant to the sale of 50% or greater of the assets or stock of Customer without the prior written consent of XXX ; (b) except to the extent otherwise is provided under a) Customer must obtain the prior written consent of Enea before the Customer may assign the Agreement to an unaffiliated third party; and (c) Customer shall always inform Enea of a planned assignment of the Agreement no less than thirty (30) days prior to the date on which the assignment is planned to occur.Notwithstanding anything to the contrary herein,Enea shall always be entitled to refuse an assignment of the Agreement by the Customer to a company or an entity involved in business activities that may be considered competitive with any business activities conducted by Enea and/or any of its Affilites.Enea’s consent to Customer’s assignment of the Agreement shall not be unreasonably withheld.A Party shall after an assignment of the Agreement to any of its Affiliates,remain responsible for the Affiliate’s correct fulfillment of its obligations assumed under this Agreement.Upon assignment,Enea may modify and change the License Fees defined in Appendix A and the Support and Maintenance Services and associated fees defined in Appendix A and Appendix B.

Enea允许客户转让该协议并且不得无理拒绝.甲方作为隶属机构,应保持正确履行他的义务在转让协议为任意一家隶属机构签署之后；根据协议,Enea 可以修改和变更在附录A文件内所规定的执照费用,和在附录A,附录B中规定的支持维护服务以及所相关的一些费用.
