Any provision of this agreement which is determined by a court of competent jurisdiction to be avoid or unenforceable shall be severable from all other provision of this agreement and shall not be deemed to affect or impair the validity of any such other provision of this agreement. This Agreement shall be governed by california law, and the parties consent to the exclusive juristiction by the state and federal courts sitting in Santa Barbara county,California.
