本文以惠普公司收购英国软件Autonomy公司的交易为案例,从Autonomy严重“不当会计行为”和“虚假陈述”以及收购方惠普公司内部会计严重失当与调查不充分两个角度,分析该收购交易缩水的主客观原因,以期为我国并购决策者提供借鉴,使并购达到预期的效果.

By citing the acquisition of British software company,Autonomy,by Hewlett-Packard as a case study,this paper analyzes the subjective and objective reasons of this unfavorable acquisition deal from two perspectives,namely,the serious "improper accounting behavior" and "false statements" of Autonomy,and the grave misconduct and insufficient due diligence inspection of HP's internal accountants; so as to provide a salutary lesson to China's merger and acquisition decision makers,and hopefully the desired effect of M&A can be achieved.
