7.TIMING AND PLACE OF PAYMENT
7.1 The Mobilisation Fee shall be paid from the account of the Company,
maintained by the Agent for amounts due by the Company for construction
works carried out pursuant to the EPC Contract (the “Construction
Disbursement Account”) and shall be paid in instalments on achievement of
the relevant mobilization milestones set out in Attachment 1.

7.2 The Company shall pay the Operation Fee to one or more bank accounts in the
Republic of Indonesia established by the Operator,which are acceptable to the
Company and the Agent and shall pay the Operation Fee to the Operator based
on the Billing Period and on receipt of the relevant payment from the
Purchaser.The Operator shall ensure that the Operation Fee shall be used
solely to pay for the fixed and variable operations and maintenance costs and
expenses of the Plant.
7.3 Where an Incentive Payment is to be paid by the Company to the Operator,it
shall be paid together with and in the same manner as the Operation Fee.
Where an Incentive Payment is to be paid by the Operator to the Company,it
shall be paid by the Company setting-off the Incentive Payment against
Operation Fees.
7.4 All amounts of Rebate shall be paid by the Operator to the Company by the
Company setting-off the Rebate against the Operation Fees.
7.5 Without prejudice to the generality of Clause 6.3 (Additional Services) of this
Agreement,payment of any Additional Services shall be subject to the prior
agreement between the Company and the Operator of the amount and timing
of such payment in each case,which shall be evidenced by a certificate from
the Operator requesting such payment which has been approved in writing by
the Company's Representative.
7.6 The Operator shall provide in respect of the Mobilisation Fee,the Operation
Fee and any amount of Incentive Payments payable by the Company in
accordance with this Agreement,an invoice in such form as is appropriate for
all tax and administrative purposes and which is in conformity with all Legal
Requirements.Each such invoice shall be issued no earlier than the end of the
Billing Period in respect of which any such amounts are due.
7.7 Each invoice shall be paid by or on behalf of the Company as provided in this
paragraph 8 (Timing and Place of Payment) within forty-five (45) Days of the
date when such invoice is received by the Company and the Lenders.
