MEMORANDUM of UNDERSTANDING.
This memorandum of understanding (the 'Agreement') is made and entered between party A ……………… and party B ……………… basing on the following terms and conditions of business cooperation effective from ……………… indefinitely.
Party A hereby agrees to enter a Joint-Venture by issuing an irrevocable SBLC （standby letter of credit）in the amount of USD30million to pay Party B bank facility with JB Morgan & Chase London.
Basing on the abovesaid SBLC,party B will use its facility to drawdown not exceeding 90% of the SBLC full face value.Partial drawings permitted.First USD10million(90% only)and balance at a later date.
For investment purpose,both parties A and B agree d to share /split equally 50:50 of the 90% drawdown,that means,party A will receive USD13.5million and party B will also receive 13.5million.
One month before expiry date of the SBLC,each party must make an effort to return / payback whatever sum of money (taken previously) to the bank unless investment/ business failure,alternatively,we can extend the validity of the SBLC or issue another new SBLC rollover / investment purpose.
The investment / projects funding will be based in Hong Kong preferably,then Malaysia and Singapore.
Both parties agreed / accepted the full contents of this memorandum of understanding,as such,both parties sign below to confirm the execution of this document accordingly.
