-EQUITY-
In entering into this contract,seller and buyer recongnize that it is impractical to make provision for every contingency which may arise during the life of this contract.seller and buyer concur in the principle that this contract shall be carried out between the two parties with fairness and without detriment to the interests of either party,and if in the course of the performance of the contract any infringement of this principle is anticipated or disclosed,then seller and buyer shall promptly confer in the good faith with each other to agree upon such an action as mat be necessary to remove the clause or clause of such infringement.
-LICENSES-
Buyer uudertake that all the necessary import licenses and all other authorizations required for copper concentrates have been obtained(and/or will be obtained) for the entire quantity covered by this contract.buyer furthermore guarantees that such licenses will remain in force for the full life of the contract.
-SUCCESSION AND ASSIGNMENT-
Without the prior written consent of the other,which consent shall not be unreasonably withheld,neither party may assign its rights or obligations under this agreement in full or in part.
-DEFAULT-
In the event party(the non-performing party) shall:
(1).default in the payment or performance of any obligations to the other party under this contract or any other contract between the parties.
(2).File a petition or otherwise commence or authorize the commencement of a proceeding under any bankruptcy or similar law for the protection of creditors or have any such petition filed or proceeding commenced against it or its assets.
(3).otherwise become bankrupt or insolvent,however evidenced.
(4).be unable to pay its debts as they fall due
(5).0fail to give adequate assurance of its ability to perform all of its obligations under this transaction or any other transaction between the parties whthin 48hours of a reasonable request thereof.
Then in any such event the other party(the performing party) shall have the right immediately and at any time thereafter to liquidate and terminate any or all contracts then outstanding between the parties.
Upon such liquidation or termination all amounts owing under any of the outstanding contracts shall immediately become due and payable in US dollars without off-set,from the non-performing party,including any costs and expenses,legal or other.

在签署这份合同时,买方和卖方要认识到在合同有效期内可能出现的各种突发事件都能做好准备是不切实际的.买方和卖方也赞同合同的实施是建立在双方公平对任何一方无利益损害的原则上,如果在履行合约过程中发现任何将会有违反这个原则的情况发生或者被揭露,买方和卖方应立刻达成去除此条款或去除条款中引起违合约的地方的友好协议
执证
买方保证所有进口时合同中涉及的所有产品的必要用的执证及其它认证已经获取（或将会获取）,此外,买方还要保证此执证在合同有效期内一直有效.
继承和转让
有事先经他人同意的不可以无故中止的书面同意书,双方都可以转让在此协议下的全部或部分权利或义务
违约
违约方（不履约方）如有下列行为：
1）付款违约、对另一方不履行合约、及双方其它合约
2）不会翻译
3）不会翻译
4）不能支付到期债务
5）不能在48小时内,为一相关的合理的要求,提供有能力完成在此交易或其它交易基础上的责任的保证.
有以上任何情况,履约方有权立刻或任何时间来清算及终止双方尚未履行合约,在此基础上的清算及终止的合约的所有货款及费用,不履约方应立刻无任何差错以美元方式支付,包括因法律诉讼产生的费用及其它所有花费.
