2.5 MEET OR RELEASE
If during the PERIOD,BUYER can purchase goods of like quality to GOODS hereunder from another supplier at a total delivered cost to a BUYER facility that is lower than the total delivered cost of the GOODS purchased hereunder from SELLER and SERVICE AGENT,BUYER may notify SELLER and SERVICE AGENT of such total delivered cost and SELLER and SERVICE AGENT shall have an opportunity to price the GOODS purchased hereunder on such a basis as to result in the same total delivered cost to BUYER within thirty (30) calendar days of such notice.If SELLER or SERVICE AGENT fails to do so or cannot legally do so,then BUYER shall be entitled to (i) terminate this AGREEMENT at any reasonable time thereafter with immediate effect and without any penalty,liability or further obligation; (ii) purchase the GOODS from other suppliers in which case the obligations of BUYER,SELLER and SERVICE AGENT hereunder shall be reduced accordingly; or (iii) continue purchases under this AGREEMENT.
2.6 MOST FAVORED CUSTOMER
If during the PERIOD,SELLER or SERVICE AGENT sells any materials which are the same as,equivalent to,or substantially similar to the GOODS herein,at a price (excluding freight and duties) to a third party lower than the price (excluding freight and duties) to BUYER,then SELLER and SERVICE AGENT has an opportunity to price the GOODS purchased hereunder within thirty (30) calendar days so that it is the same or lower than the price (excluding freight and duties) of such third party.If SELLER or SERVICE AGENT fails to do so or cannot legally do so,then BUYER shall be entitled to (i) terminate this AGREEMENT at any reasonable time thereafter with immediate effect and without any penalty,liability or further obligation ; (ii) purchase the GOODS from other suppliers in which case the obligations of BUYER,SELLER and SERVICE AGENT hereunder shall be reduced accordingly; or (iii) continue purchases under this AGREEMENT.At BUYER’s request,SELLER and SERVICE AGENT shall certify in writing to such BUYER that SELLER and SERVICE AGENT are in compliance with this Section and,to the extent legally permissible,shall provide all information that BUYER reasonably requests in order to verify such compliance.
