Confidentiality
We are about to start discussing Dry Wipes “Woolite color protection” and evaluating working together in relation thereto ("Permitted Purpose").Reckitt Benckiser Corporate Services ("RB") and Ahcof International Development Co.,Ltd ("Company") each possess information valuable to them of a confidential nature ("Confidential Information") which may assist the Permitted Purpose.
The Confidential Information may include information,know how,experience and data of a technical,operational,administrative,financial or business nature or otherwise,whether oral or in some tangible form,such as in documents,papers,drawings,diagrams,discs,articles,samples,prototypes or otherwise,that is disclosed (intentionally or unintentionally or as a result of one party permitting the representatives of the other to visit any of its premises) by one party (“Discloser”) to the other party (“Recipient”) which relates to the Discloser’s Confidential Information.
In consideration of the parties entering into these discussions,both RB and the Company are willing to disclose Confidential Information to the other on the following terms:
1 The effective date of this Agreement is the date upon which the last party executes this Agreement.
2 The obligations set out in term 5 shall apply for a period of five (5) years from the date of disclosure of a given item of Confidential Information.Further,any Confidential Information which may have been disclosed by either party for the Permitted Purpose prior to the date set out at the head of this letter shall be deemed to have been furnished under the provision of this Agreement.
3 For the purposes of interpretation where RB is the Recipient or Discloser,this shall include reference to RB’s Group Companies.“Group Companies” shall mean those corporations,companies and business entities which are,directly or indirectly,controlled by,controlling or under common control with RB,control meaning ownership of more than 50% of shares or being entitled to appoint the board of directors.
4 The Discloser will disclose to the other such Confidential Information,as it considers necessary to further the Permitted Purpose.
