摘 要
公司治理是现代企业制度的核心内容和重要组成部分,但随着我国经济的高速发展,公司治理结构问题也日益严重,不但阻碍公司进行正常有序的日常运作,而且对整个社会的经济行为也会产生影响.面对当前的不利形势,坐待求成是解决不了问题的,我们应积极地寻找出完善公司治理结构的对策.
本文首先阐述了公司治理结构的涵义及公司治理中的监督形式,接着论述了公司治理中的委托代理理论与利益相关者理论,然后总结出了公司治理结构的作用,说明了良好的公司治理的必要性,并提出了我国在选择公司治理结构时所应具备的条件.在这些理论的基础上,详细地分析了公司治理结构中存在的缺陷,并有针对性地寻找出解决这些策略的对策.研究此课题皆在完善公司的治理结构,使公司健康有序的发展与进步,促进整个国家经济的发展.
