Description of Confidential Information:Each Discloser’s “Confidential Information” for purposes of this Agreement,except to the extent excluded under paragraph 5,shall consist of any and all information disclosed to the Recipient,(whether verbally,visually,electronically,or in writing) which relates to the Discloser’s business including,but not limited to,its strategic planning data,non-public financial information,customer data,supplier relationships,marketing plans,purchasing data,licenses,business forecasts,acquisition or divestiture plans,prototypes,design,engineering and/or manufacturing processes and services,research,development,inventions,discoveries,concepts and ideas,pricing and procurement information,or production level(s),methods,formulae and techniques,whether patentable or not,as well as improvements thereof or know-how related thereto.Without limiting the generality of the foregoing,the Discloser’s Confidential Information includes any information learned while visiting the Discloser’s facilities.
Use & Non-Disclosure of Confidential Information:The Recipient shall only use the Discloser’s Confidential Information in good faith for the purpose of evaluating,establishing,or continuing a business relationship with Discloser (the “Purpose”).Moreover,the Recipient agrees it will not disclose Confidential Information of the Discloser to any third party,except Recipient’s attorneys,accountants,financial advisors,consultants,and affiliates having a bona fide need to know such information,and to other third parties solely as necessary to carry out the Purpose (such attorneys,accountants,financial advisors,consultants,affiliates and third parties collectively
referred to as “Authorized Third Parties”) if such Authorized Third Parties are bound in writing or by law to the Recipient by obligations of confidentiality at least as restrictive as the terms set forth herein.If the Recipient discloses Confidential Information of the Discloser to Authorized Third Parties,the Recipient shall be liable to the Discloser for any unauthorized disclosure thereof by such Authorized Third Parties.Recipient shall protect the Confidential Information by using the same degree of care,but no less than a reasonable degree of care,as Recipient uses to protect its
own confidential information of a like nature to prevent the unauthorized use,dissemination,or publication of the Confidential Information.Upon written request,all Confidential Information in tangible form will be destroyed or returned to the Discloser.
