6.TERMINATION
合同终止
6.1 Either party may terminate its participation in this Agreement by written notice to the other party if the other party fails materially to observe or perform any of its obligations under this Agreement and has been notified in writing by the party aggrieved of the nature of the failure within fifteen days after its occurrence and has not taken steps to remedy such failure within thirty days after such notice.Either party may terminate the Agreement upon not less than 90 days notice to the other party.
6.2 Except as otherwise expressly provided in this Agreement,the termination of this Agreement shall be without prejudice to any rights or obligations which have accrued before termination and shall not destroy or diminish the binding force of any of the provisions of this Agreement which are expressly provided to come into force on,or continue in force after,such termination.
6.3 On the termination of this Agreement,all the rights and obligations of the parties under this Agreement shall immediately cease to have any further force or effect,save that clauses 6,9 and 10 shall survive the termination of this Agreement.
6.4 On the termination of this Agreement,the Supplier shall,as soon as practicable following such termination,account to the Recipient for all monies then held by the Supplier on the Recipient’s behalf.
7.FORCE MAJEURE

7.1 Neither the Supplier nor the Recipient shall be liable to any other for any delay or non performance of its obligations under this Agreement arising from any cause or causes beyond its reasonable control including any of the following:act of God,governmental act,war,fire,flood,explosion,civil commotion or industrial dispute of a third party,act of terrorism,revolution,blockade,embargo,strike,lock out,sit in,industrial or trade dispute,adverse weather,disease,accident to (or breakdown of) plant or machinery,shortage of any material,labour,transport,electricity or other supply,Change of Law or other regulatory intervention.
7.2 Subject to the party so delaying promptly notifying the other party in writing of the cause and the likely duration of the delay and provided that the party shall use reasonable endeavours to limit the effect of such event on the other party,the performance of the delaying party's obligations,to the extent affected by the delay,shall be suspended during the period that the cause persists,provided that if performance is not resumed with 60 Business Days after that notice the non delaying party may by written notice terminate this Agreement.
8.INDEMNITY

The Recipient shall hold the Supplier fully indemnified against all liabilities,obligations,costs,claims and demands of any description which the Supplier may incur as a result of its carrying out its duties under this Agreement except to the extent arising from the wilful misconduct or the gross negligence of the Supplier.

6.1任何一方可随时终止其参加本协定,以书面形式通知另一方,如果另一方当事人未在实质上遵守或履行其任何义务,根据这项协议,并已书面通知党受屈的性质为何失败十五天之后,它的出现,并没有采取措施纠正这种失败后三十天内通知.任何一方都可以终止协议后,不得少于90天通知对方.

6.4关于终止本协议,供应商须在切实可行范围内尽快作出这样的终止,帐户给收件人为一切款项,然后由供应商对受援国的代表.
7 .不可抗力
不可抗力
7.1既不是供应商或受赠人,即属违法,任何其他任何拖延或不履行其义务,根据这项协议所产生的任何原因或原因超出其合理控制范围包括下列任何一种：上帝的旨意,政府行为,战争,火灾,水灾,爆炸,内乱或劳资纠纷的第三方的情况下,恐怖主义行为,革命,封锁,禁运,罢工,锁了,坐,工业或贸易争端,不利的天气,疾病,意外发生（或崩溃）的工厂或机器,缺乏任何材料,劳工,交通,电力或其他供应量,改变法律或其他规范性的干预.
7.2受党这么拖及时通知另一方,在写作的原因和可能的时间延迟,并规定党应利用合理的方式,尽量以限制的影响,此类事件对其他党,表现拖延党的义务,在多大程度上受延误,应暂停期间事业持续,规定,如果业绩没有恢复同60个营业日之后发出通知,不拖延的一方可通过书面通知终止本协定.
8 .偿
赔偿
收件人必须持有供应商完全弥偿的任何债务,义务,费用,债权,并要求任何描述,其中,供应商可能会因由于其履行其职责,根据这项协议,除非在多大程度上源自故意的不当行为或严重疏忽的供应商.
